WAOGF is governed by institutional-grade controls designed to prevent concentration of decision-making authority.

A formal Investment Committee Charter requires unanimous approval for any investment exceeding $15 million, with no single-individual veto power. Anchor LPs receive an LP Advisory Committee seat as of right, with consent rights over material fund amendments and full quarterly reporting and annual LP meetings.

Legal & Institutional Infrastructure

The fund is supported by top-tier legal and advisory counsel, including Romano Law PLLC as lead fund counsel and Baker McKenzie for cross-border structuring, alongside engaged Nigerian regulatory counsel.

WAOGF also maintains active relationships with the U.S. Development Finance Corporation, the U.S. Export-Import Bank, and the International Finance Corporation — relationships that support political risk insurance, blended finance, and institutional validation.

ESG at WAOGF is a risk-mitigation and value-preservation discipline, not a marketing overlay. Every portfolio asset requires a Host Community Development Trust, fully compliant with the Petroleum Industry Act as a direct response to one of the primary historical causes of production loss in the Niger Delta. Anti-flaring commitments and gas monetization pathways are embedded in asset selection criteria, and all well operations are executed under the oversight of Tier-1 technical partners: Halliburton, Baker Hughes, and SLB.
